Allied Universal® is hiring a Senior Counsel. The Senior Counsel is responsible for supporting the Legal Services Group and the Allied Universal Janitorial line of business. This team member will report to the Vice President, Contracts and be located at our Headquarters East in Conshohocken, PA.

RESPONSIBILITIES:

  • Lead the drafting, reviewing, red-lining, and negotiation of complex commercial agreements to drive business growth and protect company interests
  • Serve as primary negotiator with customers, vendors, subcontractors, and opposing counsel, balancing risk with business objectives
  • Establish and maintain contract templates, playbooks, and processes that enhance efficiency, consistency, and scalability
  • Advise senior leadership with clear, strategic legal guidance, including executive summaries of high-impact negotiations, to facilitate awareness and approval of non-standard contract terms
  • Anticipate and mitigate regulatory and compliance risks, implementing proactive strategies to safeguard the business
  • Shape and strengthen internal policies, procedures, and training programs to promote compliance and operational excellence
  • Partner with cross-functional teams and executives to align legal strategy with key initiatives and long-term goals
  • Assist with resolution of customer, subcontractor, and vendor disputes, ensuring outcomes that support both compliance and business priorities
  • Provide legal support for corporate transactions, including mergers and acquisitions, to advance strategic growth

QUALIFICATIONS (MUST HAVE):

  • Law degree from an accredited law school and admission to the bar In any jurisdiction
  • Minimum of five (5) years of legal experience, Including contract negotiation, corporate law, and regulatory compliance
  • Excellent oral and written communication skills with the ability to engage effectively with company management, internal clients, external counsel, regulatory bodies, customers, and government officials on laws, regulations, rulings, contract terms, and interpretive guidance, while maintaining a collaborative, team-oriented approach
  • Strong ability to provide risk assessment and mitigation support and to drive deliverables by influencing both internal and external stakeholders
  • Solid understanding of the general liability insurance process including claim handling and indemnification obligations
  • Experience working in Outlook, Excel, Word, SharePoint, OneDrive platforms
  • Proven ability to take initiative and effectively manage multiple competing priorities and deadlines in a fast-paced, deadline-driven environment
  • Occasional travel to attend meetings, deliver trainings, etc.
  • Strong organizational and analytical skills, including attention to detail and a self-driven, problem-solving mindset

PREFERRED QUALIFICATIONS (NICE TO HAVE):

  • Prior experience conducting audits or investigations
  • Experience working in or advising service-based industries, such as janitorial, facilities management, staffing, or construction
  • Project management and Smart Sheet experience
